Strategy seeks shareholder approval for daily dividends on STRC, STRF, STRK and STRD

Strategy wants shareholders to approve daily dividend record dates on its four preferred stocks, starting with STRC on Nov. 2, with rates unchanged.

Why it matters

Daily payments would put Strategy's preferred stock on the same model Strive used for its SATA series earlier in 2026, so two bitcoin treasury companies now compete on payment frequency for income investors. The change targets the gap between STRC's $100 stated value and its trading price rather than the payout, and preferred dividends still depend on Strategy's cash position, which Crypto News raised directly. No vote result or start date is in effect yet.

Key facts

Strategy is asking shareholders to approve daily dividend accruals on its four preferred stocks, STRC, STRF, STRK and STRD, with every calendar day including weekends and holidays as a record date and payment on the next business day.

Reported by Bankless

Shareholders vote on the proposal at a virtual special meeting on Oct. 28, starting at 10 a.m. Eastern Time.

Reported by Bankless

The amendments would not change applicable dividend rates or Strategy's aggregate regular dividend obligations.

Reported by Bankless

STRC's annual dividend rate is 12% on its $100 stated value, roughly $12 a year per share.

STRC would move to daily payments first, on Nov. 2, with STRF, STRK and STRD following on Jan. 4, 2027.

Reported by Bankless

Strategy's board approved the proposal on Thursday, disclosed in a Friday SEC filing, and the amendments take effect once updated certificates are filed in Delaware.

Reported by Cointelegraph

Only common stockholders of record Sept. 25 can vote, and preferred holders do not vote through their STRC, STRF, STRK or STRD shares; Class A carries one vote and Class B 10.

Reported by Crypto.News

Strategy has spent about $1 billion repurchasing preferred shares, including $174 million of STRC in the week ended Sept. 20.

What happened

Strategy's board approved a proposal to amend the certificates of its four U.S.-listed preferred stocks — STRC, STRF, STRK and STRD — so that every calendar day, including weekends and holidays, becomes a dividend record date, with payment on the next business day, and shareholders will vote on the amendments at a virtual special meeting on Oct. 28. Cointelegraph reported the board approved the move on Thursday in a filing with the SEC, and Crypto.News reported that only common stockholders of record on Sept. 25 can vote; preferred holders cannot vote through their STRC, STRF, STRK or STRD shares, and Class A common carries one vote against Class B's 10. Dividend rates and aggregate dividend obligations do not change, so the same annual income is split into smaller payments: STRC would move from twice-monthly to daily and the other three series from quarterly to daily. Strategy said the change would reduce reinvestment lag, enhance liquidity and market efficiency, and increase price stability, supporting a trading price near $100, and added that it could also benefit common stockholders by expanding its preferred-equity capital toolkit. If approved, STRC starts Nov. 2, with STRF, STRK and STRD following Jan. 4, 2027, after Strategy files updated certificates in Delaware. Still open: nothing in the evidence gives a filing date for the amended certificates, and Crypto News flagged that STRC fell to $75 when bitcoin traded below $60,000 in June, which CoinDesk separately described as a low of $71 during the same June selloff — the two figures differ. CoinDesk also reported STRC has traded below $100 since May despite a 12% dividend rate and roughly $1 billion of preferred share buybacks, including $174 million of STRC in the week ended Sept. 20.
